( BW)(NJ-DENDRITE)(DRTE) Dendrite Completes Strategic Acquisition of
Schwarzeck-Verlag GmbH; Dendrite's German Presence Strengthened by
Expanded Solution Offerings and Larger Customer Base

    Business Editors

    MORRISTOWN, N.J.--(BUSINESS WIRE)--July 20, 2004--Dendrite
International, Inc. (NASDAQ: DRTE) today announced the completion of
its strategic acquisition of Schwarzeck-Verlag GmbH. A subsidiary of
Deutscher Aerzte Verlag GmbH based in Munich, Schwarzeck is a leading
provider of physician databases, direct marketing services, and sample
fulfillment services to pharmaceutical companies in Germany.
The acquisition accelerates Dendrite's expansion in Europe and
extends its interactive marketing solutions and services to the German
pharmaceutical industry. It creates one of the most diversified
German-based suppliers of pharmaceutical-specific services, data, and
technology to drug manufacturers in one of the world's largest
pharmaceutical markets. By combining Dendrite's sales support
solutions with Schwarzeck's marketing support services, the
acquisition provides customers with a comprehensive, integrated array
of offerings from a single supplier.
"Like our recent purchase of Medical Data Management, our
acquisition of Schwarzeck reflects our continued commitment to meet
the growing needs of our European customers," said Dendrite President
and COO Paul Zaffaroni. "The merger of our two companies not only
gives Dendrite a more substantial presence in Germany, but it also
provides customers with enhanced solutions for maximizing their
promotional initiatives."
Schwarzeck Managing Director Harald Finger added, "Pharmaceutical
companies in the region are increasingly partnering with only those
vendors that offer a strong combination of technology, support,
industry expertise, and local market knowledge. By joining forces with
Dendrite, we believe we have a comprehensive portfolio of sales and
marketing solutions that will be attractive to the German
pharmaceutical industry."

    Key Acquisition Elements

Completed on July 13, 2004, the Schwarzeck acquisition provides a
compelling value proposition that includes:

    -- Comprehensive Database Services

Dendrite will add Schwarzeck's physician information sources to
its own Pharbase(TM) database services to provide pharmaceutical
clients in Germany with one of Europe's richest sources of customer
information from which to align sales resources, target and segment
customers, conduct sales and marketing initiatives, and measure
program results.

-- New Interactive Marketing and Fulfillment Services

Pharmaceutical companies in Germany can now benefit from a broad
range of direct marketing services--including sample fulfillment,
direct mail, and printing services--delivered in a cost-effective and
efficient integrated manner by a single provider.

    -- Senior Leadership and Expertise

Founded in 1972 and employing more than 35 personnel, Schwarzeck
brings strong market leadership and experience to complement
Dendrite's industry expertise, providing customers with expert
guidance, support, and consultancy capabilities.

    -- Access to New Customers

The Schwarzeck acquisition gives Dendrite a number of new clients
in one of the world's largest pharmaceutical markets. Schwarzeck
currently serves many of the top pharmaceutical companies in Germany.

Dendrite indicated that in 2003, Schwarzeck reported approximately
$4 million in revenue, excluding postage pass-through. Through
synergies created by its increased scale and local presence, Dendrite
expects the acquisition to be neutral to earnings for the remainder of
2004 and approximately $0.01 accretive in 2005. The transaction,
including the assumption of liabilities, is valued at approximately $1
million.
